Bilingual Contract Drafting vs Translation in the UAE: Which Do You Need? (2026)

The Short Answer

Choose bilingual (two-column Arabic–English) preparation when a document will be signed in the UAE, especially before a notary: powers of attorney, share transfers, MOA amendments and declarations. Choose certified translation when a contract has already been signed in one language, or must be filed with a UAE court, ministry or bank.

Smart World Legal Translation (SWLT) does both: bilingual document preparation and MOJ-certified translation, from AED 60 per 200-word page. SWLT is a translation company, not a law firm: we prepare the language; legal advice comes from a lawyer and notarisation from the notary.

How the Two Routes Work

Bilingual preparation (two columns)

The document is laid out as a table, Arabic on one side and English on the other, clause by clause. Every signatory signs one instrument and sees both languages on every page. This is the usual format for documents signed before a UAE notary; see our bilingual power of attorney page.

Translation after signing

The parties negotiate and sign in one language, usually English. A translator licensed by the UAE Ministry of Justice then translates the final text into Arabic and certifies it with a stamp and signature. The translation follows the signed text exactly; it cannot fix a clause the parties already agreed.

Five Factors That Decide It

1. Signing before a UAE notary

Notaries in Abu Dhabi (under the Abu Dhabi Judicial Department) and Dubai work in Arabic, so a non-Arabic speaker usually signs a bilingual document. Preparing it in two columns from the start avoids a rejected appointment. See notary public in the UAE.

2. The prevailing-language clause

Many UAE contracts say which language prevails if the versions differ. Whatever the clause says, onshore courts work in Arabic, so a weak Arabic version is a risk either way. With bilingual preparation, the two columns are compared before anyone signs, which is when a mismatch is cheapest to fix.

3. Long multi-party negotiations

For a 90-page joint-venture or licensing agreement with several rounds of redlines, keeping an Arabic column in step with every draft slows the deal. Negotiating in English and translating the agreed final version is usually more practical.

4. Employment and HR documents

Offer letters, policies and employment contracts are clearer for staff in two columns. MOHRE contracts have their own bilingual forms; see employment contract translation.

5. Documents already signed abroad

A contract signed abroad cannot be re-drafted; it is attested and then translated. See how to translate commercial agency agreements for the order of steps.

Frequently Asked Questions

Is a two-column bilingual contract valid without a separate translation?

When it is signed before a UAE notary, the Arabic column is part of the signed document itself. If a bilingual contract was signed privately and is later filed in court, the court may still ask for a certified translation or appoint an expert to check it.

Which language prevails if the columns differ?

The contract usually says, but in onshore UAE proceedings the court works from the Arabic text. That is why the two columns should be compared before signing.

How much does it cost?

Both bilingual preparation and certified translation start from AED 60 per 200-word page, with a 20% surcharge for urgent same-day work and volume discounts from 10 pages.

Does SWLT give legal advice on contract clauses?

No. SWLT is a translation company, not a law firm. We handle certified translation and bilingual language preparation; legal advice on the terms should come from a lawyer.
