How to Translate Joint Venture Agreements for UAE Courts

How to Translate Joint Venture Agreements for UAE Courts

The Short Answer

When a joint venture dispute goes to an onshore UAE court (Dubai Courts, the Abu Dhabi Judicial Department or the federal courts), the court works in Arabic. Under Federal Decree-Law No. 42 of 2022 on Civil Procedure, documents in a foreign language are filed with an Arabic translation, so an English JV agreement, its schedules and the correspondence your claim relies on need a certified Arabic translation by an MOJ-licensed translator.

The hard part is not the language. JV agreements are usually drafted in English by common-law lawyers, and clauses such as deadlock, drag-along or fiduciary duty have no word-for-word Arabic equivalent. A literal translation can make a clear exit mechanism look vague to the judge and to the court-appointed expert.

What to Translate

Agree the scope with your lawyer first. In most JV disputes the file includes:

  • The joint venture or shareholders’ agreement in full, including definitions, governance, transfer restrictions, exit and dispute resolution clauses.
  • The JV company’s constitutional documents: memorandum and articles of association as registered, which prevail over the private agreement on many points. See company establishment agreement translation.
  • Schedules and side agreements: capital contribution schedules, business plans, technology licences, services and supply agreements between the JV and a partner.
  • Board and general assembly records: resolutions, minutes and notices that show how the deadlock or breach arose. See how to translate board resolutions.
  • Financial records: audited accounts and profit distribution calculations that the expert will review. Abu Dhabi courts may accept numeric-only statements without translation (ADJD Circular 8/2023), but narrative notes still need it.
  • Correspondence: emails and messages relied on as notices or admissions. See messages as court evidence.

Key JV Clauses in English and Arabic

These are the renderings we start from. We agree the glossary with counsel at the beginning, keep the English term in brackets on first use, and use the same Arabic term across the agreement, the memoranda and the expert’s questions:

How We Translate a JV File for Court

1. Identify the structure

An incorporated JV (an LLC or joint stock company under Federal Decree-Law No. 32 of 2021 on Commercial Companies) and a contractual JV with no company use different Arabic vocabulary. We check which one you have before translating the governance clauses.

2. Build the glossary

Defined terms, party names, the JV company’s registered Arabic name and the key clause terms are fixed at the start and shared with your lawyer.

3. Translate with the same numbering

Clause, schedule and page numbers follow the original, so the judge and the expert can compare the English and Arabic side by side.

4. Legal review and certification

A second linguist checks the translation against the original, then an MOJ-licensed translator signs and stamps it.

Why It Matters in Court

In JV disputes about profit distribution, capital contributions or valuation on exit, the court often appoints an accounting expert. The expert works from the Arabic file, so an unclear translation of a waterfall clause or a valuation formula can shape the expert’s report. See translation for court-appointed expert proceedings.

If your JV agreement chooses the DIFC or ADGM Courts or arbitration, the language rules change. See onshore vs DIFC and ADGM courts and arbitration award translation for enforcement. A bilingual agreement signed at the outset avoids many of these problems; see bilingual drafting vs translation.

Frequently Asked Questions

Does a JV agreement need translation if the case is in the ADGM Courts?

The ADGM Courts work in English, so an English agreement can be filed as it is. If the ADGM judgment is later enforced in onshore Abu Dhabi or Dubai, the enforcement papers are in Arabic.

Who can certify a JV agreement translation for a UAE court?

A translator licensed by the UAE Ministry of Justice. The translator signs and stamps the translation.

Can the other side challenge the translation?

Yes. The other party can dispute the accuracy of a translation, and the court decides how to deal with it, for example by asking an expert. A consistent glossary and a reviewed translation make a challenge less likely to succeed.

How long does a JV agreement take?

It depends on length and schedules. We confirm the delivery time with the quote; urgent filings are priced on request.

How much does it cost?

From AED 80 per 200-word page for Arabic and English, AED 100 for French, AED 150 for German, Italian or Turkish, and AED 250 for other languages such as Chinese, Russian or Urdu (all excl. 5% VAT). Urgent work is priced on request, and large files receive discounts.
